Tony’s Chocolonely solidifies its commitment to sustainability through updated legal framework

Tony's Chocolonely solidifies its commitment to sustainability through updated legal framework legal structure, Sustainability, Tony's Chocolonely Food and Beverage Business

Tony’s Chocolonely has taken bold steps towards achieving its mission of eradicating exploitation in the chocolate industry. In order to safeguard its commitment to the cause, the company has introduced a brand-new governing structure, Tony’s Mission Lock, which will essentially ensure that the company’s key principles are forever upheld, regardless of its shareholder structure. With the aim of making 100% slave-free the norm in the chocolate industry, Tony’s Mission Lock will legally use a golden share mechanism, overseen by three experienced ‘Mission Guardians’, Seth Goldman, Ikenna Azuike, and Anne-Wil Dijkstra, to protect the company’s purpose.

The Mission Guardians, by holding a golden share in the company, will have the power to prevent any legal changes to the definition of the company’s mission and its 5 Sourcing Principles. They will also have several escalation levers to hold Tony’s leadership team accountable both publicly and judicially. Tony’s Chocolonely hopes that the Mission Lock structure will serve as an inspiration to other companies looking to protect their mission for the long term.

The Mission Guardian trio is chaired by Seth Goldman, who brings extensive experience in growing mission-led companies with a range of public and private shareholder structures. Ikenna Azuike, a lawyer turned broadcaster, brings valuable experience in social and climate activism, strategy, and journalism. Lastly, Anne-Wil Dijkstra brings insider knowledge of Tony’s impact model and hands-on experience of implementing this model operationally, having been Tony’s former Chief of Impact, Operations, and People & Culture.

Commenting on his role as Mission Guardian, Seth Goldman highlighted the importance of safeguarding mission-led companies in a rapidly evolving business world. The Mission Lock structure will serve as a guarantee that Tony’s 5 Sourcing Principles will remain at the forefront of the company’s operations, and the structure’s formation document will be signed live at Tony’s FAIR in Amsterdam on 8 June, by the Mission Guardians and Tony’s Chief Chocolonely, Douglas Lamont. During a live Q&A, they will discuss the significance of this evolution of a Mission Lock for Tony’s mission and that of other impact companies.
