Butterfly Equity has reached an agreement to purchase food packaging producer Sabert Holding Corp in a transaction whose value has not been disclosed.
Completion is anticipated during the fourth quarter of 2026, pending the satisfaction of customary closing conditions.
Established in 1983 and based in Sayreville, New Jersey, Sabert develops and manufactures food packaging made from plastic, paper and moulded fibre.
Sabert runs 13 production sites globally, nine of which are located in the US. Its customer base spans foodservice distributors, grocery retailers, restaurants, quick-service restaurant chains and food processors.
The company has secured more than 400 product patents and maintains in-house research, tooling and product development operations.
The acquisition will strengthen Butterfly Equity’s investment portfolio in the food and beverage industry, including the food packaging market.
Founder Albert Salama is set to remain invested in Sabert as a minority shareholder after the transaction closes.
Kirkland & Ellis acted as legal adviser to Butterfly Equity, with KPMG supporting the firm on financial and tax matters. Sabert was advised by UBS Investment Bank and Goldman Sachs, while Simpson Thacher & Bartlett and FBT Gibbons provided legal advice.
UBS Investment Bank, Goldman Sachs & Co and KKR Capital Markets are supplying the financing for the acquisition.
