The Tofoo Co. Acquires German Plant-Based Producer Topas. Food and Beverage Business

The acquisition represents a significant milestone in The Tofoo Co’s strategy to expand its presence within the European food and beverage industry. Committed to organic plant-based products, the company aims to broaden its market reach beyond the UK.

Established over 30 years ago by Sanni Ikola-Gaiser and Klaus Gaiser, Topas is renowned for its Wheaty brand, which offers a variety of organic meat alternatives. These products, including plant-based sausages and deli slices, utilize seitan (wheat gluten) as a primary ingredient, aligning with current food manufacturing trends.

Located near Stuttgart, a key manufacturing hub in Germany, Wheaty enjoys a robust following through organic vendors and major food retailers alike. Additionally, the brand has established its presence in the French organic market, as well as in Austria, Switzerland, and the Netherlands, demonstrating adaptability to diverse food distribution trends.

Through this acquisition, The Tofoo Co intends to elevate the Wheaty brand not only in the domestic market but also expand its international distribution, particularly in the UK, which presents numerous opportunities for food and drink innovation.

This move is a logical fit for North Yorkshire-based Tofoo, which already incorporates seitan products in its range. Furthermore, the acquisition enables the company to leverage Topas’ advanced manufacturing capabilities in ‘wheat meat’, enhancing its food processing technology.

Moreover, this investment lays vital groundwork for Tofoo’s planned entry into the German market this year, establishing strong local roots via a trusted manufacturing partner known for high-quality production and sustainability.

Sebastian von Eltz will step into the role of managing director at Topas, while current MDs Klaus Gaiser and Miikka Gaiser will remain engaged. Klaus will concentrate on product development, whereas Miikka will oversee production and organizational matters.

“Finding the right home for the business was incredibly important to us,” Klaus emphasized. “The Tofoo Co and its shareholders align with our values, our commitment to organic quality, and our belief in doing things the right way. They are good stewards of the business and there are many obvious areas for collaboration, particularly in bringing better-for-you, natural products to more people across Germany and the UK. This feels like the right next step for the sustainable, long-term growth of Topas.”

David Knibbs, CEO of The Tofoo Co, commented: “Wheaty has an exceptional heritage and reputation within organic plant-based products. We see huge potential to build on this strong base, grow the brand further across Europe, and introduce exciting new opportunities in the UK. This partnership also gives us strong roots in Germany as we bring The Tofoo Co to the market.”

Topas will maintain its operations from Stuttgart, where it currently employs over 100 staff and reported a turnover of €14 million in its most recent financial year. This positions Topas to adapt effectively to food and beverage industry trends.

The transaction is projected to finalize later this month. The Tofoo Co received counsel from AC Christes & Partner on financial and tax matters, along with legal advice from Herbert Smith Freehills Kramer.
