McCormick has unveiled its strategy for a new operational framework, an updated executive leadership team, and plans for a secondary stock listing location.
This announcement comes on the heels of the anticipated completion of a proposed $40 billion (€34 billion) merger with Unilever’s Foods division, which is projected to be finalized by mid-2027.
Upon the finalization of the merger, McCormick will reorganize itself into four distinct commercial divisions. These divisions will be the main reporting segments for the newly formed company, which include:
– Americas Consumer
– International Consumer
– Global Food Service
– Global Flavor
The Consumer segment will encompass both McCormick’s and Unilever’s retail offerings of herbs, spices, seasonings, condiments, cooking aids, and sauces, and will be split geographically into two divisions.
The restructuring aims to enhance the reach of the merged entity, better align global brands for local markets, and boost innovation and product development capabilities within the combined organization.
Leading the Americas Consumer division will be Andrew Foust, with projected annual sales of $8 billion across North, Central, and South America by 2025.
The International Consumer division, under the leadership of Heiko Schipper, aims to achieve $7 billion in annual sales by 2025, covering the EMEA and APAC regions.
Nuria Hernandez will oversee the Global Food Service division, which is anticipated to generate $4 billion in annual sales by 2025 by providing a wide variety of flavor products to restaurant operators and other away-from-home sectors.
Lastly, the Global Flavor division will cater to global food, beverage, and consumer health companies, as well as restaurant chains, by offering specialized flavors, seasonings, and coatings. Suzanne Roy will lead this division, which is expected to reach $2 billion in annual sales in 2025.
In addition to the leaders of the new divisions, McCormick has announced six key functional leaders:
– Tabata Gomez, EVP, Chief Growth & Global Marketing Officer
– Jennifer Han, EVP, Chief Supply Chain Officer
– Guy Peri, EVP, Chief Information & Digital Officer
– Sarah Piper, EVP, Chief Human Resources Officer
– Jeff Schwartz, EVP, Chief Legal Officer
– Heike Steiling, EVP, Chief R&D Officer
These executives will operate from the company’s global headquarters in Hunt Valley, Maryland, as well as from its international headquarters in the Netherlands, where Unilever has maintained a significant presence.
As previously stated, Brendan Foley will continue in his roles as chairman, president, and CEO, while Marcos Gabriel will maintain his position as executive vice president and CFO.
McCormick is also planning to pursue a secondary listing on the London Stock Exchange, in addition to its main listing on the New York Stock Exchange. This initiative is anticipated to improve capital flow and increase liquidity for shareholders.
Reflecting on this, Foley remarked, “We are pleased to confirm, complementing our New York Stock Exchange listing, McCormick intends to seek a secondary listing on the London Stock Exchange. This, in combination with our International Headquarters and commitment to Unilever’s world-leading R&D facilities in the Netherlands and our Global Headquarters in Hunt Valley, Maryland, reinforces the global nature of the combined operations and positions us for ongoing success.”
This development comes at a time when the merger initiative has faced scrutiny, following a notable decline in McCormick’s share price, which dropped significantly in March amidst speculation regarding the deal. According to reports from Yahoo Finance, the company’s share price has decreased by 23.39% year-to-date, indicating a cautious sentiment among investors.
